Terms and Conditions for the Supply and Use of the Elixir Platform.


Our full company name is Elixir AI Ltd. We are a company registered in England & Wales under company number 1075526. Our registered office is 7 Florence Gardens, Manningtree, CO11 2FB.


This document, together with the Data Processing Agreement and any other documents referred to, tell you the terms and conditions on which we supply the Elixir Platform.


These terms and conditions of service apply from the moment healthcare staff are allowed by their employing organisation to create an account with Elixir. Please read these Terms and Conditions carefully, you should understand that by using our software you agree to be bound by these terms and conditions.


Provision of service


Elixir AI Ltd. aims to provide its platform for child health on a fair and reasonable basis to all of its users. We will aim to provide you with a high-quality service at all times. However, as our service relies on third party services being available to us (e.g. AWS), we cannot guarantee availability at all times. We may suspend the Elixir Platform’s service if any part of our system requires maintenance. We will minimise disruption by ensuring this does not often happen, keeping downtime to as short a period as reasonably possible and scheduling maintenance for evenings and weekends. We pride ourselves in high levels of customer service and satisfaction. If you come across ways we can improve our service, please share them with us at [email protected].


Acceptable use


The Elixir Platform is to be used solely by you for the benefit of your normal business operation in accordance with these Terms and Conditions of service. We reserve the right to immediately suspend or cancel your subscription and access to any or all services provided by us if we decide that you have been using the Elixir Platform inappropriately. We also reserve the right to suspend your subscription and access to any or all services provided by us where resource usage is abnormally high.


We will not allow our services to be used for the transmission of obscene or otherwise inappropriate content, such designation is entirely at our discretion. You warrant that you will not use or try to use the Elixir platform service for any purpose that is unlawful or prohibited by these terms, conditions or notices.


We reserve the right to refuse, at our sole discretion, to provide our services to any business which in our opinion will make inappropriate use of the Elixir Platform.


Charging and Payment Policies


No initial subscription or set up fees will be charged. We reserve the right to change the pricing of our services at any time, but we guarantee that such pricing changes will only take effect after one years notice has been given to you. We may also change payment terms with similar notification.


For the purposes of transparency, the Elixir Platform itself and the Education and Prolonged Jaundice Pathways are currently provided free of charge and we intend to always support a free version of the service. In the future we plan to develop new functionality for different pathways, where we would provide clinical and administrative benefit. If healthcare organisations wanted  to access these optional new features, they would be charged. Healthcare organisations will be able to access such features for free, for a limited period of time, by choosing to be a pilot site for the development of a new pathway.


Cancellation policy


We reserve the right to cancel and close your access to the Elixir Platform at any time. You may close your account at any time by emailing [email protected].


Disclaimer


We will not be held responsible for any damages your business may suffer. Elixir AI Ltd make no warranties of any kind, expressed or implied, for the Elixir Platform service that we provide. We make no claims over the reliability, timeliness or effectiveness of the Elixir Platform service or its fitness for a particular purpose. This includes any loss of business resulting from the late, wrong or non-delivery of messages sent through our platform or any service interruption accidentally caused by us.


Liability


We are only liable to you as set out in these Terms and Conditions of Service. We have no other duty or liability to you.


We are not liable to you in any way for any loss of income; business or profits; or any costs that you may have suffered due to failures in the Elixir Platform service that are beyond our control or could not reasonably be foreseen by us.


We are not liable to you in any way for any loss of income; business or profits; or any costs that you or your customers may suffer due to your use of the Elixir Platform service or due to a problem with the Elixir Platform service that could not reasonably been foreseen by us.


General


Your account is not transferable. You may not transfer or try to transfer any of your rights or responsibilities under this arrangement with us. We may transfer the provision of the service and any of our responsibilities to you without your permission or notification, providing the service we provide to you is not reduced as a result.


We may keep on record any communications between us, either any verbal conversations or emails.


Any special concessions or amendments that we may make to you will only apply to the specific circumstances that arose when we gave such concessions. It does not imply any further obligation on our part that would affect our normal conditions of service.


Should any dispute arise between us then English law will apply and such disputes will be settled in an English court.


If any condition of this agreement should be deemed to be not legally effective, then you accept that the remainder of the agreement shall be effective and we can replace the ineffective clause with an effective clause or condition of similar meaning.


We reserve the right to revise our Terms and Conditions at any time, particularly to meet the requirements of new legislation.


Copies of our current Terms and Conditions will always be available to you on the Elixir website and by written request.
